and what we are |
|
DpRx.com is a Nevada
Corporation. (DP/Rx is a separate company incorporated in California.)
DpRx.com is an International
company that specializes in providing MCOs a Facility Management approach to PBM
operations where the MCO owns the PBM without any material investment made. The company is
strategically located in Nevada for the purpose of providing substantial advantages for
taxes and privacy.
DpRx.com licenses the computer products of its
affiliate company: DP/Rx Corporation. This company provides the PBM software to DpRx.com
as a major part of its PBM Facility Management programs.
DpRx.com has PBM operations in Nevada and DP/Rx
development and software maintenance is located in California.

Early Years: |
|
We must
turn back the clock to 1980 to get a total picture of the DP/Rx family. At that time, a major
conglomerate company had as one activity the development of data processing systems to
process drug claims for Drug Chain Stores such as Walgreen Stores of Illinois. In the
mid-eighties Daylin filed bankruptcy and discontinued its business operations.
Two former employees formed a
PBM-like service bureau with the
software already developed and continued the Drug Claims processing business with the
former customers. This service bureau grew rapidly and after several years was acquired by
a Pharmaceutical manufacturer. The IBM based software moved to another company called PBS,
Inc. PBS was engaged by AT&T who invested nearly two million dollars in new
development that was intended to support a vertical marketing strategy directed to the
Pharmaceutical industry.
The PBS/AT&T product was expanded to a
real-time, on-line drug claims processing system which was a new innovation for the
industry at that time. AT&T decided to abandon their existing vertical market strategy
and disbanded 50% of their marketing staff in late 1987 when the software product was just
completed.

| DP/Rx Founded In 1987: |
| The PBS software was
acquired by DP/Rx and, thus, was the formation of todays software company completed
in 1987. DP/Rx proceeded to market its newly acquired product, now called
TeleClaim.
FHP, Inc of Fountain Valley, California was impressed
with the newly re-engineered software, called TeleCLAIM, and was secured as the
companys first customer in early 1988. Within a short period of time all claims were
on-line in PBM mode for an FHP membership of 400,000 using over 600 pharmacies comprised
of independent pharmacists and all major chain stores (Sav-on, Thrifty, Payless and
Longs).
Many innovations were developed for FHP in the
next four years of processing that provided a leading edge technology for their regional
HMO operations. In 1991, the company pursued other clients with this first micro-computer,
real-time, on-line processor. Shortly thereafter, the first turn-key user was installed in
Tuscaloosa, Alabama at Harco Stores.

| The First TeleClaim Turn-Key System: |
|
Harco Stores was a story book installation that converted the service bureau data files of
the ARGUS company of Kansas City without any major incident and processing started
smoothly. This installation was an immediate model of efficiency. One operator was
sufficient for their operations of 24 hours per day and 7 days per week.
DP/Rxs unique support product, called "Night
Watchman", made possible this bare-bones staffing operation. "Night
Watchman" is a product, operating on another computer remote from the TeleClaim
installation, that simulates the actions of a pharmacy sending claims every few minutes.
In the event of a system interruption, "Night Watchman" detects the interruption
and dials the human operators pager to signal a problem such as loss of power or
system failure.
TeleClaim was designed to enable easy-to-change
benefit plans without the aid of DP/Rx technicians. The product providing this
pharmacist-friendly control is called "PlanBuilder". This product is a PC level
program that takes a Pharmacist through 12 pages of "Fill-In-The-Blanks" logic
that enables very complex management of multiple benefit plan inclusions, exclusions,
special pricing, and a plethora of customized controls. Thus, DP/Rx objective of providing
simple-to-use computer systems to the pharmacy industry was demonstrated with the Harco
installation.

| DP/Rx Growth In The Pharmacy Benefit Processing Field: |
|
DP/Rx has added
many more products to buttress its support of sophisticated drug benefit sponsors such as
HMOs, PPOs, Chain Stores and PBMs.
January 2000 was a major announcement occasion for DP/Rx. A comprehensive group of new
complementary products were released for interested clients. This group was inclusive of
several new Internet systems and Voice Response systems. This product group opens the door
for inclusion of Physicians and Pharmacists in the time critical prescription dispensing
process. The voice response products are designed to assist in the Disease State
Management challenge that improves compliance and outcomes as a result
The Internet products are also vital to the
development of the South American market that is devoid of the data communication carriers
such as NDC, ENVOY and MedeAmerica. The DpRx.com products will enable economical
interaction between the pharmacies, physicians and the central controlling processor.
Installations in Chile and Argentina utilize this new technology since early 1999.

Future and The Companys Strategic Plan: |
|
DpRx.com believes
that the entire Healthcare Information Systems field integrating medical and pharmacy
systems shall evolve in the next four years. Medical, pharmaceutical and all collateral
activities will interact with one another in the highly publicized Information Highway
that is widely supported by Federal Government initiatives and the healthcare industry in
general.
Presently, DP/Rx
technicians are far into the development of a much more efficient use of data
communication resources. The current DP/Rx development is focused on an optimal
replacement of the existing communications services that have been entirely dominated and
controlled by a few firms like NDC, ENVOY and others.
A DP/Rx product announcement was made in early
2000. TeleCLAIM was expanded to include Internet functionality. This enables several
collateral products that introduced Physicians and Pharmacists to the drug dispensing
process.
Clearly, DP/Rx defines
its corporate strategy as one that will, by technical innovation, respond to new
opportunities, suited to its computer and healthcare industry knowledge and skills. These
opportunities will emerge as a result of changing and dynamic growth brought on by
industry demands. This industry is rapidly merging into one monolith of total medical
services requiring the availability of integrated and comprehensive patient information
and databases.
